These Terms of Service ("Terms") govern your access to and use of the website easehealth.com (the "Website") and the cloud-based platform and related services (the "Service") provided by Ease Health, Inc. ("Ease Health," "we," "us," or "our").
By accessing our Website or using our Service, you agree to be bound by these Terms. If you do not agree, do not access or use our Website or Service.
1. Definitions
- "Customer" means the entity that enters into a subscription agreement with Ease Health for access to the Service.
- "Authorized User" means an individual authorized by a Customer to access and use the Service on the Customer's behalf.
- "Service" means the Ease Health cloud-based platform, including CRM, EHR, and RCM functionality, and any related tools, APIs, and documentation.
- "Website" means the website located at easehealth.com and any associated subdomains.
- "Content" means any text, data, information, images, or other materials uploaded to, submitted through, or generated by the Service.
2. Use of the Website
2.1 Eligibility
You must be at least 18 years old to use our Website or Service. By using our Website, you represent that you meet this requirement.
2.2 Website Access
We grant you a limited, non-exclusive, non-transferable right to access and use our Website for informational purposes. We may modify, suspend, or discontinue any part of the Website at any time without notice.

Access to the Service is governed by a separate subscription agreement between Ease Health and the Customer. In the event of a conflict between these Terms and a subscription agreement, the subscription agreement controls with respect to the Service.
3.2 Account Registration
To access the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3.3 Acceptable Use
You agree not to:
- Use the Website or Service for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks connected to the Service
- Interfere with or disrupt the integrity or performance of the Service
- Upload or transmit viruses, malware, or other harmful code
- Use automated systems (bots, scrapers, crawlers) to access the Website or Service in a manner that exceeds reasonable use, except as expressly permitted by our robots.txt file
- Reverse engineer, decompile, or disassemble any part of the Service

You retain ownership of any Content you upload to or create through the Service. By using the Service, you grant Ease Health a limited, non-exclusive right to use, store, and process your Content solely to provide and improve the Service.

If you provide us with feedback, suggestions, or ideas about the Website or Service, we may use that feedback without restriction or obligation to you.
5. Privacy and Data Protection
5.1 Privacy Policy

5.2 HIPAA Compliance
Ease Health's Service is designed for use by behavioral health providers who are covered entities or business associates under HIPAA. When Ease Health processes Protected Health Information (PHI) on behalf of a Customer, we do so pursuant to a Business Associate Agreement (BAA) executed between Ease Health and the Customer.
Customers are responsible for ensuring their use of the Service complies with HIPAA and all applicable federal and state healthcare privacy laws.
5.3 Data Security
We implement commercially reasonable technical and organizational measures to protect data stored in the Service. Details of our security practices are available upon request.
6. Third-Party Services
The Website and Service may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, terms, or practices of any third-party service. Your use of third-party services is at your own risk and subject to the terms and policies of those services.
7. Disclaimers
7.1 "As Is" Basis

Nothing on the Website or in the Service constitutes medical advice, diagnosis, or treatment. The Service is a software tool for healthcare providers and does not replace professional clinical judgment. Healthcare providers using the Service remain solely responsible for all clinical decisions.
7.3 Availability
We do not warrant that the Website or Service will be uninterrupted, error-free, or free of harmful components. We may modify or discontinue any feature at any time.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASE HEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). LIABILITY RELATED TO THE SERVICE IS GOVERNED BY YOUR SUBSCRIPTION AGREEMENT.
9. Indemnification
You agree to indemnify, defend, and hold harmless Ease Health and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Website or Service in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) your Content.
10. Termination
We may suspend or terminate your access to the Website or Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Website and Service ceases immediately. Sections 4, 7, 8, 9, 10, 11, and 12 survive termination.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
11.2 Dispute Resolution
Any dispute arising from or relating to these Terms or your use of the Website shall first be attempted to be resolved through good-faith negotiation. If negotiation is unsuccessful within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Each party bears its own costs, and the arbitrator's decision is final and binding.
11.3 Class Action Waiver
You agree that any disputes will be resolved on an individual basis and that you will not bring or participate in any class, consolidated, or representative action against Ease Health.
12. General Provisions
- Entire Agreement. These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Ease Health regarding the subject matter herein.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
- Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force Majeure. We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, pandemics, war, terrorism, labor disputes, government actions, or internet disruptions.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or through our Website. Your continued use of our Website or Service after any changes constitutes your acceptance of the updated Terms.
